This agreement applies to the products you license from iconsharp until we enter into a new agreement that expressly supersedes this one. If you use iconsharp products as an employee / partner or for the benefit of your company, you acknowledge that you have the authority and right to accept this agreement on behalf of your company. Your company will be a licensee under this agreement. By downloading, installing or using iconsharp products, you agree to the terms and conditions of this agreement on behalf of yourself and the company on whose behalf you will use iconsharp products provided under this agreement.

By purchasing, downloading and using any of our icosharp digital assets, you are licensed to use that file for a specific purpose under certain terms and conditions under copyright as described below. Your purchase of iconsharp products signifies your acceptance of the terms of this agreement.

The effective date of this agreement is the date you first purchase, download, install or use iconsharp products. If you do not agree to the terms of this agreement or do not have the authority and power to accept the terms of this agreement on behalf of your company, you may not use iconsharp products and iconsharp is unwilling to provide them to you.

Agreement — This License Agreement which shall be in effect and bind you and Iconsharp the moment you buy the licensed products of Iconsharp, unless another agreement expressly replaces it.

Iconsharp — the company that has produced, created the Iconsharp icons for personal and commercial use and under this License Agreement is extending it for further use.

You / Your — You are the client of Iconsharp if you are visiting the site of Iconsharp and have the intention of licensing the Iconsharp icons for your personal or commercial use. 'You' may be an individual, a company, employee of a company, partners of a company or freelancers hired to work. This definition is not comprehensive although it includes all of the above but may not be limited to it.

Licensed user - By purchasing, downloading, and using any of our Iconsharp products, digital assets ("Item", "Asset"), you are granted a license to use this file for specific purposes under certain conditions.

You are licensed to use purchased Assets in unlimited personal and commercial projects ("End Products") for yourself or a client.

Only one License user is allowed to use the 'Iconsharp' icons at one time unless the company purchases a "Dual licence", “Team License”, "Company License" or “Enterprise License” on their behalf to increase such users.

Employee/ Partner/ Team Member — are employee/ partner of a company, partnership firm who are employed by that company in some manner, working on an end project and need to use the 'Iconsharp' icons to integrate them into the company's end projects for further commercial use and profit of the Company. They are clearly distinguished from the "End Users".

End User — The End User may also be the users of the projects/ websites developed by the companies or partnership firms mentioned where the icons have already been integrated into such projects. There is no limit on the number of such End Users who may use/visit such End projects / websites.

End product - is your unique project, such as a website, app, or digital item, where end users do not get direct access to the complete Asset in its original or modified form, and where the Asset does not constitute the main value of the product.

The Iconsharp products that you may license or use free of cost under this agreement are identified hereunder that you and Iconsharp enter into from time to time under this agreement. These products and services may include (but are not limited to).

You can download the free pack provided by Iconsharp and use it for personal or commercial purposes for any number of projects.

A Single License for solo designers, developers, freelancers, etc.
Only one (1) Licensed user have access to the entire iconsharp product and can use and embed up to 100 icons in one end project.

The Single License allows you to use iconsharp digital assets in unlimited personal and commercial end projects for yourself or a client.

Note that you can only legally share a digital asset with your team members if you have purchased a "Dual License", “Team License”,“Company License" or “Enterprise license”. In this case, you are free to grant view or edit access to the entire icons library.

If you have more than one (1) employee / partner who may need to use the Iconsharp Icons in the company's, then you have to buy a “Dual licence”, “Team License”, “Company License” or “Enterprise license”. You will be free to select one of the options based on the required number of employees entitled to use the license.

If you need to use more than 100 icons in one end project, you may have to buy an "Extended License".

Dual License for solo designers, developers, freelancers, etc.
Only two (2) Licensed user have access to the entire iconsharp product and can use and embed up to 100 icons in one end project.

The Dual License allows you to use iconsharp digital assets in unlimited personal and commercial end projects for yourself or a client.

If you have more than one (2) employees / partners who may need to use the Iconsharp Icons in the company's, then you have to buy a “Team License”, “Company License” or an “Enterprise license”. You will be free to select one of the options based on the required number of employees entitled to use the license.

If you need to use more than 100 icons in one end project, you may have to buy an "Extended License".

Team License for small design teams, and startups.

Only 5 licensed users have access to the entire iconsharp product and can use and embed up to 100 icons in one end project.

Team License allows you to use iconsharp digital assets in unlimited personal and commercial end projects for yourself or a client.

If you have more than five (5) employees / partners who may need to use the Iconsharp Icons in the company, then you have to buy a “Company License" or an “Enterprise License”. You will be free to select one of the options based on the required number of employees entitled to use the license.

If you need to use more than 100 icons in one end project, you may have to buy an "Extended License".

The Company License is perfect for large design teams, companies, and organizations.

Only 10 licensed users have access to the entire iconsharp product and can use and embed up to 100 icons in one end project.

The Company License allows you to use iconsharp digital assets in unlimited personal and commercial end projects for yourself or a client.

If you have more than ten (10) employees / partners who may need to use the Iconsharp Icons in the company, then you have to buy an “Enterprise License". You will be free to select one of the options based on the required number of employees entitled to use the license.

If you need to use more than 100 icons in one end project, you may have to buy an "Extended License".

The Enterprise License is perfect for large companies, and corporations.
You will be free to select one of the options based on the required number of employees entitled to use the license.

If you need to use more than 100 icons in one end project, you may have to buy an "Extended License".

An Extended License with the selected parameters removes restrictions on the number of icons in one end project and gives you the right to use more than 100 icons in one end project. You will be free to select one of the options based on the number of icons you need to use in one end project.

All the terms of this License Agreement are also valid and extend to the "Extended License".

Any purchased License (paid and demo) allows you to use our digital assets in unlimited personal and commercial projects for yourself or a client. If you have more than one designer on your team, please purchase a license with the appropriate number of seats.

For all the above products and Licenses, you will receive a download link in your registered email ID as soon as the payment is completed as per the license you may have purchased. This link shall be valid for a period of one year.

All rights, title, and interest in and to the Product, including all intellectual property rights therein, are and shall remain the exclusive property of Licensor. Nothing in this Agreement shall be construed to transfer any rights, title, or interest in the Product to Licensee, except as expressly provided herein.

Your License Rights: When you purchase a license to a Licensed Product, upon its delivery you will have a non-exclusive right to:

- Install the Licensed Product on one or more computers
- Use the Iconsharp icons in application, software, UI/UX design
- Create an End Product for a client
- Create an End Product for personal or commercial use
- Allow one employee / partner to use the Iconsharp icons if the license permits so
- Modify in shape, size, color or file format
- Make a reasonable number of copies of the licensed Product solely for backup or archival purposes
- Combine the Item with other works and make a derivative work from it. The resulting works are subject to the terms of this license.
- Make, develop, integrate into designs, software, services, web-based products only to the extent that the Licensed Products are integrated / embedded into the new creation and is not in the original form as the licensed Product

 Use Iconsharp assets in Personal and Commercial End projects

 Use Iconsharp assets in unlimited Personal and Commercial End projects

 Only the Licensed user can have access to the entire iconsharp product and use it for personal and commercial end projects

 You can use and embed up to 100 icons per one end project (for example: in a website, mobile app, design system, presentation template, graphic template, etc)

 Use Iconsharp assets that are included in your end projects in perpetuity. There is no time limitation and no renewal fees needed. After you download our Iconsharp assets, you can keep them forever in your end projects.

 Use the Iconsharp assets in any location. There are no geographical limitations.

 The Licensed user can use icons, with or without modifications, into end products

Examples of usage allowed by the license:

- Use Iconsharp assets to create websites for yourself or a client
- Use Iconsharp assets to create web applications or apps for yourself or a client
- Use Iconsharp assets to create commercial SaaS applications or websites for end users who pay to use as a subscription, or who pay a one-time fee

 It is not allowed to use more than 100 icons in one digital End Product such as website, mobile app, presentation, design system, etc. (Exceeding limits)

 It is not allowed to include Iconsharp icons / assets in a commercial template for resale

 A Single License does not allow more than one user to have access to the iconsharp product source, elements and components. You can increase the number of licensed users on our website

 It is not allowed to make elements of the iconsharp product or parts of it publicly available on the web

 It is not allowed to share a link to the iconsharp product source
files and its individual parts from linking to the product on the Internet or otherwise distributing / embedding its elements using third-party applications or other software

 It is not allowed to share iconsharp product source elements or parts with employees, friends and other third parties, unless the Licence you have purchased provides for it

 It is not allowed to include the complete Asset within the End Product, whether in its original or altered state

 It is not allowed to redistribute the Iconsharp product, Item or its parts as your own, in either their original or altered state

 Ensure that end users of the End Product cannot extract the Item and use it separately from the End Product

 Team members must not duplicate iconsharp product for personal or commercial use outside of team projects. If a team member leaves the team, they may no longer use the Asset.

 It is not allowed to share the item link into the web or distribute (e.g. embed) with Figma public access
- It is not allowed to place any of iconsharp Item design files into the End Product as it is

 It is not allowed to redistribute the iconsharp Items as stock, in a tool or template, or with source files. This includes using the Item to create a template or library for another platform or software (e.g. Shopify, Adobe XD, Framer, Webflow, HTML, CSS, React, WordPress, Tailwind and similar platforms). It is not allowed to do this with an Item either on its own or bundled with other items, and even if you modify the Item.

 It is not allowed to re-distribute or make available the iconsharp Item as-is or with superficial modifications

 You must not permit an end user of the End Product to extract the iconsharp Item and use it separately from the End Product

 It is not allowed to publish the Iconsharp item in your team library or give edit permissions to other people if you bought the Single License for one Licensed user.

Examples of usage not allowed by the licenses:

- Sharing or publishing iconsharp files or assets within the files online or making them available publicly
- Sharing iconsharp files or assets with other users that have not purchased a license
- Creating icons library, icons design system using iconsharp components, designs, assets from iconsharp product andmaking it available for free or for sale

Buying the Extended license removes the limitation of 100 icons per one end project/website/application.

After purchase, you will be allowed to use more than 100 icons in your end projects, up to the number defined in the license that you have bought.

You will be free to select one of the options based on the number of icons you need to use in one end project.

The Customer agrees to keep License keys for Iconsharp confidential, and to ensure that the Customer's employees, contractors, and other personnel keep them confidential, as well.

The Customer agrees to keep the Customer's Store access credentials confidential, and to ensure that only the Customer accesses the Web Store with the Customer's credentials.

While this agreement continues, the Company agrees to make the latest versions of Iconsharp available to download via the Web Store.

You may not transfer or assign your license rights to any other person in any manner (by assignment, operation of law or otherwise) unless you have obtained a written consent from Iconsharp.

If you attempt to transfer or assign any of your license rights without Iconsharp’s consent, the transfer or assignment will be ineffective, null, and void (and you will be in material breach of this agreement).

All products of Iconsharp are provided "as is," without any warranty of any kind, and Iconsharp further disclaims all other warranties, express, implied or statutory, with respect to open-source software, including but not limited to the implied warranties of non-infringement, merchantability and fitness for a particular purpose.

Iconsharp shall not have any liability for any direct, indirect, incidental, special, exemplary, or consequential damages (including without limitation lost profits), however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use or distribution of the open-source software, even if advised of the possibility of such damages.

Ordering Iconsharp Products: You may order the Licensed Products at any time by submitting an order to Iconsharp through Iconsharp on-line ordering system or as otherwise directed by Iconsharp. When using Iconsharp on-line ordering system, you shall be responsible for ensuring that all information you provide is accurate and complete and that any person placing an order on your behalf has your authority to do so. Once you submit an order, you may not cancel or change it. Your order must indicate which products you want to purchase (including, in the case of Licensed Products, the type of license, the quantity, the License Term) and any other information Iconsharp would need to fulfil your order. Iconsharp may, in its reasonable discretion, accept or reject your order. Iconsharp may accept your order by sending you written or electronic notice of acceptance or simply by fulfilling your order.

The Customer agrees to pay the license fee for iconsharp specified via the Web Store at the time Customer entered this agreement, using a payment method accepted by the Web Store. As soon as a successful payment is established, an email shall be sent on your registered email ID with the download link for the purchased license and further information.

All payments are to be done in U.S. dollar currency. Payments for subscriptions can be done only via the iconsharp website checkout system, using a credit card. Payments for Extended licenses can be done using different payment options: through the iconsharp website checkout system, or a via the Wire Transfers option payment request.

After this Agreement Subscriptions Ends

When this subscriptions agreement ends, the Customer's license continues for versions already covered by this agreement under Updates. The Customer's license will not cover new versions released after this agreement ends.

Confidentiality Obligations: Each party (you and Iconsharp) agrees to abide by the following confidentiality obligations with respect to the other party's Confidential Information:

- do not disclose it to any third party unless the other party has given its specific and express prior written approval, the disclosure is expressly allowed under this agreement, or the disclosure is necessary to comply with a valid court order or subpoena

- do not use it for any reason other than to exercise its rights and perform its obligation under this agreement; and

- protect it from unauthorised dissemination in the same manner as that party protects its own Confidential Information and in any event

Ownership of Intellectual Property Rights: The Iconsharp site and all its contains are the property of Iconsharp and in some cases, its affiliates and licensors, and are protected by the United States Trademark and Copyright policies and other relevant international intellectual property laws and treaties. "Iconsharp", the "Iconsharp" logo in black and white and/or any of its colored versions, in any style or format or in any artistic form, is the propriety property of Iconsharp. Your only rights in the Licensed Products are the rights expressly granted in this agreement; all other rights are reserved by Iconsharp. Iconsharp’s licensors are third-party beneficiaries of, and thus may enforce against you, the license restrictions and confidentiality obligations in this agreement with respect to their intellectual property and proprietary information. You will own all Intellectual Property Rights in the designs you create using the Licensed Products subject to Iconsharp’s (and its licensors) ownership of the Intellectual Property Rights in the Licensed Products. Iconsharp may freely use and disseminate any Feedback you provide. You agree not to claim that Iconsharp owes you any compensation for its use or dissemination of such Feedback.

For each product or service, you license or purchase from Iconsharp under this agreement, Iconsharp’s total, cumulative liability to you is limited to the amount of Fees you paid for that product or service (regardless of the nature of the liability or the nature or number of claims giving rise to the liability). Iconsharp will not, under any circumstances or any theory of liability, be liable to you for any lost profits, loss of data, or consequential, incidental, or special damages arising from this agreement or the products and services provided to you under this agreement.

If the Customer takes legal action against the Company related to Iconsharp, under contract law, tort law, or any other kind of law, the Customer 's damages will be capped at the amount of fees the Customer actually paid the Company under this agreement. Under no circumstance shall the Customer be entitled to punitive, exemplary, consequential, or indirect damages. If the Company takes legal action against the Customer related to Iconsharp, under contract law, tort law, or any other kind of law, Iconsharp shall not be entitled to receive punitive, exemplary, consequential, or indirect damages.

This agreement is governed by the laws of the United States and the State of New York, without regard to conflicts of laws principles. The federal and state courts located in New York shall have exclusive jurisdiction over any disputes arising from or relating to this agreement, and each party consents to such jurisdiction and venue.

The parties to this agreement are independent contractors. Neither party is the agent or partner of the other party, or has any power or authority to act on behalf of the other party.

Except where this agreement expressly provides exclusive remedies, all rights and remedies of either party (including termination rights) are cumulative. You agree that monetary damages alone would not be an adequate remedy, and therefore Iconsharp will be entitled to injunctive relief if you materially breach the license restrictions or confidentiality provisions in this agreement.

This agreement is the entire agreement between the parties concerning its subject matter, and supersede any prior or contemporaneous agreements, communications, or understandings (whether written or oral). However, any confidentiality or nondisclosure agreements that Iconsharp previously entered into with you will remain in effect (according to their terms) with respect to the confidential information disclosed thereunder.

This agreement may be amended only by means of a written instrument signed by authorized representatives of both parties that specifically refers to this agreement and states the parties' intention to amend it. No additional or inconsistent terms on any purchase order or similar document you may submit to Iconsharp will be binding on Iconsharp or have any legal effect.

The Customer may not assign any right or license under this agreement. The Company may assign its rights and obligations under this agreement, as a whole, to a new legal entity created to change its jurisdiction or legal form of organization, or to an entity that acquires Company assets related to iconsharp or enough securities to control the Company's management. Any attempt to assign against the terms of this agreement will have no legal effect.

The copyright of Iconsharp is owned by Iconsharp Ltd. You are granted only the permissions described in this license; all other rights are reserved.

Iconsharp Ltd. reserves the right to pursue legal remedies for any unauthorized use of Iconsharp outside the scope of this license, especially in the case where assets are used to create a competing product (e.g. icons library, icons pack) or distributed online.

If Licensor has reason to suspect that Customer or any of their Users has breached this agreement, the Licensor may terminate this agreement, restrict Customer's ability to download and use iconsharp products and assets. Upon termination of the agreement, the original and all copies of the Asset, including backup copies, must be destroyed. Licensor will send a notice to the email address provided by Customer at the time of purchase upon termination of this agreement or restriction of access. These measures do not limit the Licensor's ability to enforce this agreement in other ways, such as by taking legal action.

By purchasing or downloading Iconsharp ("Item"), you agree to be financially liable for $100,000 (One hundred thousand) for each individual offence of this license agreement. In the case that your watermarked copy of Iconsharp are shared publicly online or on a piracy forum, telegram channels/groups you agree to be held financially liable for $250,000 (two hundred fifty thousand) for each individual download as a separate offence.
